Welcome to LoadPath Software LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website (www.loadpath.app) and our proprietary software products, including LoadPath Structural Design (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you have the authority to enter into these Terms on behalf of yourself or your organization.


2. License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use our software solely for your internal business or personal use. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise exploit the Services except as expressly permitted by these Terms or applicable law.


3. User Responsibilities
You agree not to: (a) use the Services for unlawful, harmful, or fraudulent purposes; (b) attempt to gain unauthorized access to any systems, networks, or data; (c) interfere with or disrupt the integrity or performance of the Services; or (d) remove, obscure, or alter any proprietary notices or legends on the Services.


4. Intellectual Property
All right, title, and interest in and to the Services—including software, source code, documentation, text, graphics, logos, and other content—are owned by LoadPath Software LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted herein, no rights are granted to you, whether by implication, estoppel, or otherwise.


5. Professional / Engineering Disclaimer
The Services are tools intended to assist licensed engineers and design professionals and are not a substitute for professional judgment. You are solely responsible for verifying results, ensuring code compliance, validating inputs and assumptions, and applying appropriate safety factors and engineering standards. We do not guarantee that outputs will meet any particular code, specification, or regulatory requirement.


6. Payment and Licensing (if applicable)
If you purchase a license or subscription, you agree to pay the fees disclosed at the time of purchase and to comply with any additional licensing terms presented. Licenses are non-transferable and may be used only by the licensed customer. Refunds are provided only where required by law, unless otherwise stated in writing.


7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.


8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOADPATH SOFTWARE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


9. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms, if we are required to do so by law, or if we discontinue the Services. Upon termination, the license granted to you will automatically end, and you must cease all use of the Services.


10. Governing Law and Venue
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Nevada for any disputes arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.


11. Changes to These Terms
We may update these Terms from time to time. The most current version will be posted on our website with a revised “Last Updated” date. Your continued use of the Services after any changes become effective constitutes acceptance of the updated Terms.
